End User License Agreement (EULA) – Shop Manager Pro Premium

Provider: Swabian Software Solutions, Korber Steige 7/1, 71334 Waiblingen, Germany (“Provider”).

Software: Shop Manager Pro Premium WordPress Plugin (“Software”).


1. Scope of Application

This End User License Agreement (“Agreement”) governs the use of the Software by business customers (“Licensee”). By installing, copying, or using the Software, the Licensee agrees to the terms of this Agreement.

The Software requires WooCommerce and will not operate without it. The Software has only been tested with WooCommerce and standard WordPress installations. Compatibility with third-party plugins (e.g., WooCommerce Subscriptions) is not guaranteed.


2. License Model

  1. Free Version: The free version of Shop Manager Pro is distributed under the GNU General Public License (GPL) when downloaded via the official WordPress Plugin Directory. It may be copied, modified, and redistributed in accordance with the GPL.
  2. Premium Version (Shop Manager Pro Premium): a. The Premium Version is licensed, not sold. b. Each license is valid for one website only, unless an agency license for multiple client websites is purchased. c. Redistribution, modification, sublicensing, or resale of the Premium Version is strictly prohibited. d. The Licensee may choose between a lifetime license (one-time fee) or an annual license (recurring fee).

3. Permitted Use

  1. The Licensee may use the Software worldwide.
  2. The Software may not be used for illegal content or in violation of applicable law.
  3. The Licensee must ensure that the latest stable versions of WordPress and WooCommerce are used.

4. Support and Updates

  1. Support is provided exclusively via the Provider’s website, during normal business hours. There is no guaranteed response time (no SLA).
  2. Software updates are included as long as the Licensee holds a valid license.
  3. The Provider reserves the right to discontinue development of the Software. In this case, existing licenses may be terminated without refund for prepaid license terms.

5. Warranty and Liability

  1. The Software is provided “as is” without any warranty.
  2. The Provider disclaims all liability for damages, including but not limited to lost profits, business interruption, or data loss.
  3. The Provider is not liable for errors, bugs, or incompatibilities in WordPress, WooCommerce, or third-party software.
  4. Liability shall be limited to cases of intent or gross negligence under German law.

6. Term and Termination

  1. Lifetime licenses remain valid indefinitely.
  2. Annual licenses automatically renew at the end of the prepaid term unless cancelled.
  3. Annual licenses may be cancelled at any time before expiry. No notice period applies.
  4. Upon termination or expiry, the Licensee must cease using the Software and remove all copies.

7. Legal Framework

  1. This Agreement is governed by the laws of the Federal Republic of Germany.
  2. The place of jurisdiction is Waiblingen, Germany.
  3. This Agreement applies exclusively to business customers (B2B).

8. Miscellaneous

  1. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect (severability clause).
  2. The Provider may amend this Agreement from time to time. The current version will be published on the Provider’s website.
  3. All rights not expressly granted herein are reserved by the Provider.
  4. This Agreement may be provided in multiple languages for convenience. In the event of any discrepancies or conflicts, the German language version shall prevail and be legally binding.
